About the Book
Corporate Governance is that area of corporate law
which is always in the limelight. The term encompasses the internal and
external factors that affect the interests of a company’s stakeholders,
including shareholders, customers, suppliers, government regulators and
management. The purpose of corporate governance is to implement the checks and
balances system that minimizes conflicts of interest and facilitates effective
management that can deliver the long-term success of the company. Corporate
governance has garnered great attention because of high-profile scandals
involving abuse of corporate power or alleged criminal activity by corporate
officers
Even though the traditional understanding of Corporate
governance and the concepts related thereto still hold to a large extent, there
are many developments over a period of time which seeks to make the
understanding of this branch a very dynamic one. This book is primarily aimed
at dealing with not only the set framework of Corporate Governance, but also
with such evolving concepts and developments, which make this branch of corporate
law richer.
